Terms and Conditions


1.1 These Terms and Conditions supersede all previous issues. In these Conditions the term "Company" means Derby Electronics.

2.1 The term "Goods or Material(s)" means any equipment, component or materials supplied by the Company. The term "Service(s)" means any of the services Offered. With separate terms and conditions which shall be supplementary to These Conditions.

3.1 Orders placed on the Company shall be deemed an acceptance by the Customer Of these Conditions, to the exclusion of all other terms and conditions unless Expressly agreed by the company in writing.

4.1 Unless otherwise agreed or specified in writing, all quotations shall be valid for 30 days from the date thereon. The prices quoted are exclusive of any Value Added Tax which will be added at the time of invoicing/payment according to the appropriate rate.

5.1 Except for prices agreed in the quotations, the Company reserves the right to amend prices at any time due to changes in the costs ruling at the date of despatch.

6.1 payment of the invoices by account customers is to be made within 30 days of the date of the invoice. The Company has the right under English Law to charge interest on the overdue account. Where this is applicable the interest will be charged at 15% per month on the value of the month over and above the rate HSBC Bank Derby Branch is charging at the time.

7.1 Payment of invoices by non account customers is to be made immediately on presentation of the invoice or on request. Payment by cheque will only be accepted if accompanied by a valid cheque card.

8.1 The property in the Goods or Services shall not pass from the Company to the Customer until payment in full for the Goods or Services has been made by the Customer to the Company.

9.1 New Goods sold by the Company will be subject to manufacturers warranty and guarantee only.

10.1 Installation work is guaranteed only against faulty workmanship and installation materials for a period of six calendar months from the date of completion. Such guarantee is exclusive of any travelling expenses which may be charged.

11.1 Repair and servicing to equipment are guaranteed only for a period of specified time on the receipt. Where this is not mentioned the guarantee is not given or implied at all.

12.1 Suspension of work for any reason outside the control of the Company, or on the instructions or lack of instructions of the Customer shall be deemed a variation to the contract and as such be be liable to additional charges.

13.1 Any instructions given by the Customer or the Customer's duly appointed representative, to an employee or representative of the Company to perform any task not covered within the original quotation, order and or contract shall be accompanied by a signed order, which shall be costed and charged according to the Companies prevailing commercial rates for its supplies and services.

14.1 The despatch of any goods which are claimed by the Customer as being undelivered, shall require the Customer to give written notice to that effect within 5 working days of the despatch date as recoded by the Company, otherwise full payment shall be due. Goods when delivered by the carriers if found to be suspicion or the packaging found to be damaged should not be accepted by the Customer and the carriers informed within 24 hours.

15.1 The Company shall in any case have no liability in respect of failure to deliver or perform or in respect of delay in delivering or performing any obligation under the contract due to cause outside the Company's control such as act of God, fire, flood, war, civil dispute, unavailability of materials, or failure of suppliers or subcontractors to deliver.

16.1 Information on this website may be changed or updated without notice. Derby Electronics may make changes and or changes in the products and or the programs described in this information at any time without notice. Information on this website may contain technical inaccuracies or other errors. Derby Electronics accepts no responsibility for the content or the use of website. It is up to you to take precautions to ensure that whatever you select to view or use is free from any viruses, worms, trojan horses and other items of destructive nature.

16.2 In no event will Derby Electronics be liable to any party or any direct, indirect, special or other consequential damage for any use of this web site, or any other hyper linked website, including data on your information handling system or otherwise; even if we are informed of such damages.

16.3 The despatch of any goods which are claimed by the customer as being undelivered, shall require the customer to give notice to that effect within 3 days of the despatch date as recoded by Derby Electronics

16.4 The customer shall indemnify Derby Electronics against all claims whether made under contract or statute or under common law in respect of any loss or damage to any property whatsoever or injury to any person whosoever, arising out of any defect in goods or workmanship in connection with any goods manufactured and or sold by Derby Electronics or any default to negligence on the part of Derby Electronics servants in connection with or during the execution of any work by Derby Electronics on Customers or other persons property.

16.5 All information, images,graphics AND COMPANY LOGOS ARE PROTECTED BY COPYRIGHT. You MAY VIEW AND PRINT PAGES FOR INFORMATION ONLY. Printed pages must not be modified either wholly or in part, and images, graphics and logos must not be downloaded, without the written consent of Derby Electronics.

16.6 Terms of Payment: unless otherwise specifically stated in writing the prices stated are not subject to any discount and payment in full is due upfront or within 30 days of the date of invoice. The ownership of the goods shall remain in and shall belong to Derby Electronics until such time as the goods have been paid in full.

16.7 Derby Electronics reserves the right to make a storage charge for any equipment the customer requests Derby Electronics to hold after the date on which the delivery should have been made.

16.8 No cancellation, suspension or variation of the contract shall be valid unless agreed by Derby Electronics in writing and such agreement will only be given on terms which compensate Derby Electronics in respect of any losses arising as the result of such cancellation. Such compensation shall not be less than 20 percent of the value canceled contract or portion thereof.

Delivery will take place to the Buyer's invoicing address unless otherwise agreed with Derby Electronics. Written confirmation of such alternative address must be provided by the Buyer. Derby Electronics may make delivery by any method of transport available. Derby Electronics will use reasonable endeavors to meet delivery estimates but cannot accept any liability whatsoever for failure to do so however arising.
Delivery is same-day despatched on orders received before 1pm. The delivery period shall commence from the date of the receipt of order and full payment. If any item is out of stock the customer will be advised of the delivery time and period, and given the option to cancel the order if this is not suitable.

Delivery Timescales:
Derby Electronics reserves the right to deliver the goods by installments or part shipments. A price will be charged at the rate applicable to the total quantity of goods ordered. Installments or part shipment deliveries can only be accepted for a maximum period of twelve months from the date of order, unless agreed in writing with the customer.

If the goods supplied to the buyer are of special or specific nature as ordered by the customer, full cancellation charge same as the invoice charge is to be made by the customer. If the Buyer becomes the subject of any act or proceeding under or in connection with the Insolvency Act 1986 or if the Buyer fails to make payment for goods when due, in accordance with "Payment Terms"", Derby Electronics will be entitled to suspend and cancel all or any future deliveries or installments under this or any other Contract between Derby Electronics and the Buyer

Returns / Replacement:
No goods should be returned without the prior consent of Derby Electronics and without a returns authorization number having been obtained. The Buyer shall pay shipping charges for defective product unless other conditions are agreed by both parties. All returns are to be sent direct to Derby Electronics and not given to the company's representatives, insured via a method by which proof of delivery is registered. Returns must be packed securely in the same condition as supplied (including packaging) with the returns number clearly marked on the front of the package. All goods returned under warranty will only be accepted if accompanied by a returns note stating:

  1. Name and address of sender
  2. Date and number of relevant invoice
  3. Returns number
  4. Reason for returning goods
  5. Nature of fault.
Derby Electronics accept no responsibility for goods lost or damaged in transit. Without prejudice to "Returns" Derby Electronics reserves the right to replace, repair or credit in respect of all goods returned at its absolute discretion. Derby electronics will not accept responsibility for goods which, in its opinion, have been the subject of undue wear and tear, accident, misuse, improper application or neglect. Goods incorrectly ordered by customers, and returned for credit, are subject to a handling charge of 30%, except in the case of orders placed for non-stock items, which cannot, under these circumstances, be returned for credit.
